Amending the Mergers Directive

 
Graham Airs Slaughter and May discusses the provisions of the directive amending the 'Mergers Directive' which will apply to European companies from January 2006 and otherwise from January 2007
 
The European Commission announced on February 17 that the European Council had on that day adopted a directive amending the 1990 'Mergers Directive' (Directive 90/434/EEC). The original European Commission proposal to amend the Directive had been made on 17 October 2003 although it was itself subsequently amended and the amending Directive amends the 1990 Directive by:
 
●     extending the list of companies to which it applies in particular by including the Societas Europaea or European Company (and the European Cooperative Society);
 
●     adding provisions dealing with transfers of registered offices by European...
