The European Parliament’s Committee on Economic and Monetary Affairs (ECON) has published a set of amendments to the Commission’s proposal for changes to the EU prospectus directive.

The European Parliament’s Committee on Economic and Monetary Affairs (ECON) has published a set of amendments to the Commission’s proposal for changes to the EU prospectus directive. The directive sets out the rules on the prospectus to be produced by companies when securities are offered to the public or admitted to trading.

The Commission’s changes aim to make it easier and less expensive for companies, particularly SMEs, to raise capital and to provide clear information for potential investors, including retail investors. Key changes include:

·        raising the threshold above which a prospectus must be issued for offers of securities from €100,000 to €500,000 (with member states allowed to exempt domestic offers up to €10m); and

·        simplifying the prospectus for smaller companies.
