HMRC is consulting until 16 August 2013 on five of the recommendations made by the Office of Tax Simplification in its review of unapproved employee share schemes, published in January 2013. The five areas for consultation concern: share for share exchanges and rollovers; corporation tax relief following a takeover; internationally mobile employees; ITEPA 2003 s 222 and ‘making good’ of amounts paid by employer; and valuation rules for listed shares. Where the government intends to proceed with any changes in response to this consultation, further details (and draft clauses where appropriate) will be published in autumn 2013, with a view to implementation in 2014.
