HMRC publish PISCES update

HMRC’s Employment Related Securities Bulletin 58 outlines the proposed new PISCES trading platform and includes several reminders of recent and forthcoming changes that will impact on employment-related securities:

  • Private Intermittent Securities and Capital Exchange System (PISCES): the government has published a consultation response and draft regulations for the setting up of the PISCES regulatory regime for trading private company shares. Further engagement is sought with stakeholders on the interaction between PISCES and Enterprise Management Incentives. The Treasury is welcoming comments on the draft regulations until 9 January 2025.
  • Non-domicile reform: outlining the changes from 6 April 2025 covering overseas workday relief and implications for employment-related securities.
  •  CGT: reminders of the changes to main rates (of particular importance for disposals of shares acquired through share schemes for example particularly given the reductions in the annual exempt amount in recent years) and the tax treatment of carried interest.
